The clash, inked in for April 13, pitches the four-weight and current WBO super-bantamweight champion Donaire against the double Olympic champion and WBA title holder.
Aside from WBC champion Abner Mares, it is the only viable fight left at 122lb for Donaire, who for many was the 2012 fighter of the year following four wins after stepping up in weight.
Mares, who is promoted by Top Rank's arch rival Golden Boy, has already vowed to step up to featherweight with the Donaire fight dead in the water.
'Filipino Flash' Donaire is the heir apparent to countryman Manny Pacquiao, who has carried the flag for his nation over the past decade.
